Dear Mr. Farah:
As you are aware. ConocoPhillips (COP) has announced that in the near future it intends to split itself into two publicly traded companies creating “NewCo”, and that will encompass the Bayway Refinery. Local 877 seeks the following information with regard to creation of NewCo and the transference of Bayway to NewCo:
1. Will NewCo Recognize Local 877 as the bargaining agent for represented employees?
2. Is it ConocoPhillip’s intent to have NewCo adopt the CBA?
3. Will there be any layoffs? If so, please provide as much information as is currently known.
4. Will anyone in the bargaining unit be transferred to another NewCo or COP location? If so, please advise particulars.
5. Will Local 877 members be given the opportunity to transfer to COP at the time of the spin-off? If so, please advise particulars.
6. What if any changes in plant rules does NewCo propose to implement? Please provide specifics.
7. Beyond those plans already in the pipeline, what if any changes does NewCo contemplate with regard to the equipment and plant at Bayway?
8. Does NewCo contemplate any changes in the sources or types of petroleum that is to be refined at NewCo? If so, please provide details.
9. Does NewCo contemplate any changes in the production methods currently used? If so, please provide details.
10. In his July 14, 2011statement, CEO Jim Mulva stated that NewCo will be sharing certain services with ConocoPhillips in Bartlesville. Do those shared services include labor relations, payroll, benefits, safety and environmental? Please provide specifics on these and any other shared services.
11. Will the formation of NewCo affect pensions, medical benefits for current and future retirees, and stock and savings in 401k and other company plans? If so, please provide details.
12. Will the divestiture of the Bayway Refinery impact other businesses operating at the Bayway complex? Will Shared Service Agreements remain in place or in any way be modified or renegotiated? If so, please provide details.
13. Will the formation of Newco affect credited service of employees represented by Local 877?
